Terms of Service

1. Acceptance of Terms

By accessing or using Parcel Platform ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

You represent that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Parcel Platform provides real estate underwriting and analysis tools, including but not limited to:

• Property data import and management
• Photo organization and sorting
• Risk assessment analysis
• Renovation cost estimation
• Comparative market analysis (CMA)
• Offer calculation and recommendations
• Report generation

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes when possible.

The Service may ingest data from third-party sources and public records. Your rights to use such data remain subject to those source terms, licenses, and legal restrictions. Nothing in these Terms grants rights you do not otherwise have to redistribute restricted third-party source data.

3. Account Terms

To use certain features of the Service, you must create an account.

• Account Creation: You must provide accurate and complete information when creating your account.
• Account Security: You are responsible for maintaining the security of your account credentials. Notify us immediately if you suspect unauthorized access.
• Account Sharing: Your account is personal to you. You may not share your account credentials or allow others to access your account.
• Account Updates: You must keep your account information current and accurate.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

You May Not:

• Use the Service for any illegal purpose or in violation of any laws
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to it
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or use automated means to access the Service without permission
• Resell or redistribute the Service without authorization
• Use the Service to harass, abuse, or harm others
• Attempt to re-identify de-identified or aggregated data, or help others do so
• Use data products or Service outputs to build competing datasets in violation of applicable license terms

5. Intellectual Property

Our Intellectual Property

The Service, including all content, features, and functionality, is owned by Parcel Platform and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

Data Categories

• Customer Data: Data you submit, import, upload, or otherwise provide through the Service.
• Usage Data: Operational, diagnostic, telemetry, and interaction data about Service usage.
• De-Identified Data: Data processed to remove direct and reasonably linkable identifiers.
• Aggregated Data: Combined statistical or benchmark outputs that do not identify specific users or properties as yours.
• Derived Data/Insights: Scores, benchmarks, trends, and models generated from Customer Data, Usage Data, public data, and third-party inputs.
• Public Data: Data from public records and other publicly available sources, subject to applicable law and source terms.

Your Content

You retain ownership of content you upload to the Service. By uploading content, you grant us a limited license to use, store, and process that content to provide, secure, maintain, and improve the Service, including support, fraud prevention, compliance, and reliability operations.

Model Training and Improvement

Unless otherwise specified in an enterprise order form or written addendum, you agree that we may use Customer Data, Usage Data, and Derived Data to train, evaluate, and improve our models, systems, and product features. Eligible enterprise customers may request model-training opt-out terms in writing.

De-Identified and Aggregated Data

You agree that we may collect, create, and use De-Identified Data, Aggregated Data, and Derived Data (including market and usage trends) to operate, improve, promote, commercialize, license, and distribute analytics and data-driven products, provided such outputs do not identify you, your account, or specific properties as yours.

Data/API Products and Additional Terms

Certain data feeds, analytics datasets, APIs, and related products may be governed by separate data license terms, order forms, or addenda. If there is a conflict, the applicable data product terms control for that product to the extent of the conflict.

6. Payment Terms

If you subscribe to a paid plan:

• Billing: You will be billed in advance on a recurring basis (monthly or annually, depending on your plan).
• Automatic Renewal: Your subscription will automatically renew unless you cancel before the renewal date.
• Refunds: Refunds are provided at our discretion. Contact support for refund requests.
• Price Changes: We may change pricing with 30 days' notice. Changes apply at your next billing cycle.
• Failed Payments: If payment fails, we may suspend access until payment is received.

7. Termination

Termination by You

You may cancel your account at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period.

Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice. In cases of serious violations, we may terminate immediately without notice.

Effect of Termination

Upon termination, your right to use the Service ends. You may request export of your data within 30 days of termination. After that period, we may delete your data.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We make no guarantees about the accuracy or reliability of any content or analysis provided through the Service.

Investment Disclaimer: The Service provides analysis tools and information for educational purposes. Nothing in the Service constitutes investment advice. You should consult qualified professionals before making investment decisions. We are not responsible for any investment decisions you make.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARCEL PLATFORM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Parcel Platform, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content you upload to the Service

11. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Arbitration: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

12. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Parcel Platform regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not waive our ability to enforce it later.
• Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
• Notices: We may send notices via email or through the Service. You may send notices to legal@parcelplatform.ai.
